Partner Program Terms

These Partner Program Terms (the "Terms") govern your participation in the HackFirstAid Partner Program (the "Program"), operated by HackFirstAid ("HackFirstAid", "we", "us"). By submitting a partner application or by accessing the partner portal at partners.hackfirstaid.com, you ("Partner", "you") agree to these Terms and to the Partner Code of Conduct, which is incorporated by reference.

1. Eligibility

The Program is open to incorporated businesses (MSPs, IT consultancies, security firms, and trade associations) operating in the United States or Canada that complete the application at /apply, accept these Terms and the Code of Conduct, and pass HackFirstAid's onboarding review. Individuals, students, and companies with active sanctions, unresolved data-breach litigation, or business activities prohibited by Canadian or U.S. law are not eligible. HackFirstAid may refuse, suspend, or revoke participation at its sole discretion.

2. Tiers, qualification, and demotion

Partners enter the Program at Silver. Promotion to Gold or Platinum is based on trailing twelve-month (TTM) booked recurring revenue, completed certifications, and customer-satisfaction signals as documented on the /program page. Tier reviews are conducted annually. The program owner may promote a Partner sooner where quality of fit is clear. Demotion occurs only at the annual review and only when TTM booked revenue, active certifications, or Code of Conduct compliance fall below the threshold for the current tier; Partners receive at least 30 days' written notice and an opportunity to remediate before a tier change takes effect.

3. Deal registration and protection

A registered deal is one submitted in the portal containing a named end-customer, primary contact, and the in-scope services. Once accepted, HackFirstAid will not register the same opportunity to another Partner for a protection window of 30 days (Silver), 60 days (Gold), or 90 days (Platinum) from acceptance. Protection windows may be extended in writing if the Partner is actively progressing the opportunity. Disputes between Partners over the same opportunity are resolved by HackFirstAid based on first-qualified registration evidence and within five business days of being raised. Deals that close after the protection window has lapsed are not eligible for commission unless re-registered and reaccepted.

4. Commissions and payment terms

Commission rates are 10% (Silver), 15% (Gold), and 20% (Platinum) of net invoiced amounts for qualifying services, calculated at the tier in effect on the date the deal moved to closed-won. Commissions become payable once the underlying customer invoice has been paid in full. HackFirstAid pays commissions net-30 after customer payment by ACH or Interac e-Transfer in the Partner's local currency (USD or CAD). Refunds, chargebacks, or customer cancellations within the first 90 days reverse the related commission. Partners are responsible for all taxes on amounts received. Commission statements are visible in the portal under Commissions.

5. Marketing Development Funds (MDF)

Gold and Platinum Partners may request MDF for pre-approved campaigns. Requests must be submitted in the portal with scope, dates, expected outcomes, and supporting receipts. HackFirstAid reviews and approves or denies requests at its discretion; approved amounts are reimbursed upon presentation of paid receipts within 30 days of campaign close.

6. Use of brand and confidentiality

Partners may use HackFirstAid name, logo, and approved marketing assets per the Press Kit only while actively enrolled and only to promote the Program and the resold services. Customer lists, pricing, unreleased roadmap, and audit findings shared through the portal are HackFirstAid Confidential Information and must not be disclosed to third parties without written consent.

7. Code of Conduct

Participation is conditional on continuous compliance with the Partner Code of Conduct, which covers deal-registration ethics, customer respect, accurate representation of services, and escalation paths. Material breach of the Code of Conduct is grounds for immediate suspension.

8. Term and termination

These Terms remain in effect until terminated by either party with 30 days' written notice. Either party may terminate immediately for material breach that is not cured within 14 days of written notice. On termination, the Partner's portal access is revoked, deal-registration protection ends, and any commissions earned for customer invoices paid prior to the termination date remain payable per Section 4. Sections 4 (for accrued amounts), 6, 9, and 10 survive termination.

9. Disclaimers and liability

The Program is provided "as is." HackFirstAid disclaims all implied warranties to the maximum extent permitted by law. Neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages. Each party's aggregate liability arising out of or related to the Program is limited to the commissions paid or payable to the Partner in the twelve months preceding the claim.

10. Governing law

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located in Halifax, Nova Scotia.

11. Changes

HackFirstAid may update these Terms from time to time. Material changes will be communicated to the Partner's primary contact at least 30 days before they take effect. Continued participation in the Program after the effective date constitutes acceptance of the updated Terms.
